Frequently asked questions

Find answers to common questions.

What legal structures are available for foreign investors in Vietnam?

Foreign investors can establish a presence in Vietnam through several key vehicles:

  • 100% Foreign-Owned Enterprise (FOE): The most common choice, taking the form of a Limited Liability Company (LLC) or a Joint Stock Company (JSC).
  • Joint Venture Enterprise (JV): Formed with a Vietnamese partner, often required in conditional market sectors (e.g., advertising, transport, telecommunications).
  • Representative Office (RO): Ideal for market research, networking, and liaison, but cannot engage in revenue-generating commercial activities.
  • Branch Office: Permitted only in specific regulated sectors such as banking, insurance, and legal services.
  • Business Cooperation Contract (BCC): A contractual arrangement without setting up a new local legal entity.

Can foreign companies buy land or factories in Vietnam?

Under Vietnam’s Land Law:

  • Private ownership of land is not permitted; land is collectively owned and managed by the State.
  • Foreign-invested enterprises (FIEs) can lease land or rent ready-built factories (RBF) in industrial parks/zones for terms typically up to 50 years (extendable to 70 years in special circumstances).
  • Real Estate Projects: FIEs with appropriate business scope can develop real estate for lease or sale within legally permitted guidelines.

What is the minimum charter capital requirement?

Vietnam’s Law on Investment generally does not specify a universal minimum charter capital for most business lines. However:

  • The registered capital must be sufficient and reasonable to cover operational expenses and execute the proposed project scale.
  • Certain statutory sectors carry strict capital minimums (e.g., Banking, Real Estate Development, Air Transport, Logistics, etc.).
  • Capital Contribution Deadline: Injected within 90 days from the issuance date of the Enterprise Registration Certificate (ERC).

What bank accounts must a foreign-invested enterprise open?

Foreign direct investment activities in Vietnam are governed by strict State Bank of Vietnam (SBV) foreign exchange regulations:

  1. Direct Investment Capital Account (DICA): A specialized bank account (in foreign currency or VND) required for injection of equity capital, disbursements of foreign loans, and repatriating profits/capital.
  2. Current Operating Account: Used for daily local operational transactions (paying salaries, rent, vendor payments, local tax liabilities).
  3. Indirect Investment Capital Account (IICA): For non-direct foreign investors purchasing shares, bonds, or public securities.
